Agreement to Terms

By accessing and using CountNutri ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and CountNutri, concerning your access to and use of our website and mobile application.

Description of Service

CountNutri is an AI-powered nutrition tracking application that provides:

• Food photo analysis and nutrition estimation
• Macronutrient tracking (protein, carbohydrates, fats, calories)
• Meal history and analytics
• Premium subscription features for enhanced functionality
• Educational content and nutrition insights

User Accounts and Registration

To access certain features of our service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

Subscription Services and Billing

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee using your selected payment method.

Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will:

• Stop future billing immediately
• Allow you to continue using premium features until the end of your current billing period
• Not result in a refund for the current billing period already paid

Refund Policy

Acceptable Use Policy

You agree not to:

• Use the service for any unlawful purpose or to solicit unlawful acts
• Violate any international, federal, provincial, or state regulations or laws
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others
• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• Submit false or misleading information
• Upload viruses or any other malicious code
• Collect or track personal information of others
• Spam, phish, pharm, pretext, spider, crawl, or scrape
• Use the service for any obscene or immoral purpose
• Interfere with or circumvent security features of the service

Intellectual Property Rights

The service and its original content, features, and functionality are and will remain the exclusive property of CountNutri and its licensors. The service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

User Content

By uploading food photos or other content to our service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving our nutrition analysis services.

Medical Disclaimer

Third-Party Services and Advertising

Our service may contain advertisements and links to third-party websites or services that are not owned or controlled by CountNutri. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

Google AdSense

We use Google AdSense to display advertisements. By using our service, you acknowledge and agree that:

• Third-party vendors may use cookies to serve ads based on your visits to our site
• You can opt out of personalized advertising through Google Ads Settings
• We are not responsible for the content or practices of advertisers

Limitation of Liability

Indemnification

You agree to defend, indemnify, and hold harmless CountNutri and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from your use of and access to the service or your violation of these Terms.

Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the service and cancel any active subscriptions.

Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which CountNutri operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.
